Welcome to VehicleAI.co ("VehicleAI," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the VehicleAI website, platform, APIs, and associated services (collectively, the "Services").
By accessing or using our Services, you ("Customer," "User," or "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Description of Services
Vehicle AI provides an AI-driven data analytics and automation platform for the automotive industry. We reserve the right to modify, update, or discontinue features of the Services, provided such changes do not materially degrade the core functionality you have subscribed to during an active term.
2. Data Security and Compliance (SOC 2 Alignment)
Protecting your data is our highest priority. VehicleAI maintains a comprehensive information security program designed to protect Customer Data from unauthorized access, use, modification, or disclosure.
Security Controls
We implement and maintain technical, physical, and administrative safeguards that align with industry standards, specifically adhering to the principles of the AICPA's SOC 2 framework (Security, Availability, Confidentiality, Processing Integrity, and Privacy).
Audits
VehicleAI undergoes regular third-party audits of our security controls. Customers on eligible enterprise plans may request a copy of our latest audit report subject to a Non-Disclosure Agreement (NDA).
Data Breach Notification
In the event of a confirmed security breach impacting your data, VehicleAI will notify you without undue delay and in accordance with applicable laws, providing necessary information to help you mitigate potential risks.
3. Privacy and Data Processing
Your privacy is fundamental to our service.

4. Availability and Service Level Agreement (SLA)
We are committed to the reliable availability of VehicleAI.
Uptime Commitment
We strive to maintain a standard uptime of 99.5% for our core Services, excluding scheduled maintenance.
Scheduled Maintenance
We will provide advance notice of at least 24 hours for any planned maintenance that may cause service disruptions.
Note: Specific SLA guarantees, including potential service credits, are governed by the separate SLA provided to Enterprise tier customers.
5. Confidentiality
Both parties agree to hold each other's Confidential Information in strict confidence. "Confidential Information" includes any non-public business, technical, or financial information disclosed by either party. Neither party shall use or disclose the other party's Confidential Information except as necessary to perform obligations or exercise rights under these Terms, or as required by law.
6. Customer Data and Intellectual Property
Your Data
You retain all rights, ownership, and intellectual property interest in the data, materials, and information you submit to VehicleAI ("Customer Data"). You grant us a limited, secure license to process Customer Data solely to provide, maintain, and improve the Services.
VehicleAI Intellectual Property
We retain all rights, title, and interest in and to the Services, including our AI models, algorithms, software, and underlying technology.
AI Training
VehicleAI may use aggregated, fully anonymized data to improve service performance.
7. Acceptable Use Policy
To ensure the processing integrity and security of our platform, you agree not to:
- Use the Services for any unlawful, fraudulent, or malicious purposes.
- Attempt to gain unauthorized access to our systems, networks, or other customers' data.
- Interfere with or disrupt the integrity, availability, or performance of the Services.
- Use the Services to process highly sensitive data (e.g., Protected Health Information under HIPAA) unless expressly supported and agreed upon in a separate Business Associate Agreement (BAA).
8. Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to these Terms or the Services. VehicleAI's total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the liability.
9. Term and Termination
Term
These Terms remain in effect until your subscription expires or is terminated.
Termination for Cause
Either party may terminate these Terms if the other party materially breaches this agreement and fails to cure the breach within thirty (30) days of written notice.
Data Retrieval
Upon termination, you will have 30 days to export your Customer Data. After this period, VehicleAI will securely delete your data in accordance with our data retention policies and SOC 2 requirements.
10. SMS / Text Message Terms
SMS notifications are optional. If you opt in within the Vehicle AI application and verify your mobile number, you may receive SMS alerts, report notifications, account notifications, verification codes, and customer support messages from Vehicle AI.

- Consent to receive SMS is not a condition of purchase.
- Carriers are not liable for delayed or undelivered messages.

11. General Provisions
Governing Law
These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law principles.
Modifications
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification.
